IdeaFlow is a website operated by NGO "ZASTRAHOVANO" (the “Organization”, “we”, “us”). By using this website and submitting content, you agree to these Terms.
Who we are
NGO "ZASTRAHOVANO", EDRPOU code 44727473, Ukraine, Odesa region, city of Odesa, Staroportofrankivska Street, building 107, apartment 21.
Ownership of your content
All content you submit to us - your ideas, text, videos and any related materials - belongs to you. You remain the owner of everything you share.
We do not claim ownership of your ideas. Our role is limited to managing collective copyright on behalf of authors and to protecting your ideas - recording authorship, helping connect your idea with the right people, and safeguarding it against misuse. We act as a steward, not an owner.
What you grant us
So that we can perform this role, you grant us a limited permission to store, display and share the content you submit for the purpose of presenting your idea, connecting you with builders and supporters, and protecting your authorship. This permission exists only to operate and protect your submission - it does not transfer ownership.
Authorship stays with the author
Copyright and authorship of an idea always stay with its author. We record the moment of authorship (when you confirm your email) and a fingerprint of the idea text and video. Authorship can’t be sold, transferred, bought or taken over - not by IdeaFlow, a team, a supporter or an investor - and no decision on IdeaFlow, including arbitration, changes it.
The author may allow a team to build the idea (a “permission to implement”), either non-exclusive or exclusive. A permission gives the right to build and run a project based on the idea on the agreed terms. It never transfers authorship, and the team must credit the author as the permission requires.
Supporting an idea
- Pledges go to the idea’s fund. Money pledged to support an idea, and any reward or income connected with it on IdeaFlow, goes to that idea’s fund - not to the author personally, a team member or IdeaFlow. Payouts from the fund to the author, the team building the idea and the platform (a fee to keep IdeaFlow running) follow the split shown on the idea page before you pledge.
- All or nothing. Your card is charged only if the idea reaches its goal by the deadline. If it doesn’t, nobody is charged. Until the deadline you can cancel your pledge in your account. After a funded campaign, the idea may accept late pledges on the same terms.
- Rewards. Rewards are about taking part in the idea: credit, updates, early access, a say in what gets built. The author and the team building the idea are responsible for delivering them and for keeping supporters updated. Delivery dates are estimates.
- IdeaFlow is not a store. Supporting an idea helps create something new; it isn’t a purchase of something that already exists. If a reward can’t be delivered, the idea’s fund refunds supporters of that reward.
Disputes between an author and a team
If the author of an idea and a team that has permission to build it disagree - about credit, the scope of the permission, money from the idea’s fund or how the work is done - either side can open a dispute in their account. The process:
- The side that files describes what happened and what outcome it wants, with evidence.
- The other side has 7 days to answer, then both sides have 7 days to agree in the dispute thread.
- Without an agreement, an IdeaFlow arbiter reviews both sides and proposes a settlement within 14 days, then decides.
- Either side may appeal a decision once within 7 days. Two other arbiters review it; their decision is final within IdeaFlow.
While a dispute is open, payouts from the idea’s fund to the project in dispute are on hold. An arbiter can require credit for the author, rebalance or release payouts from the fund, confirm, limit or end a permission to implement, and refund supporters of rewards that can’t be delivered. An arbiter can’t change authorship. This process doesn’t limit your right to go to court.
Your responsibilities
- You confirm that the content you submit is yours and does not infringe others’ rights.
- You will not submit unlawful, harmful, or infringing material.
